Party B: American Certification Institute (hereby Party B)

甲乙双方自2002年签署合作协议以来，在国内推广、普及ACI认证项目的各项工作进展顺利。为了进一步加强双方的合作，现将有关事项明确备忘如下：
Both Parties have made good progress on ACI’s certification programs since signed agreement in year 2002 .In order to better promote our cooperation , ACI and Beijing Gaoyang Professional & Educational Developing Center agree to the following terms:

一、甲、乙双方首份合作协议是由中国专家科技经济咨询中心与美国认证协会签署的。中国专家科技经济咨询中心具体承办国际职业资格认证项目的机构是北京高扬职业教育发展中心。对此，甲乙双方均确认无误。Party A and Party B’s first contract signed by China Expert Science and Technology Economy Consultation Center and American Certification Institute, as we all affirmed that Beijing Gaoyang Professional & Educational Developing Center is responsible for Certification International Professional program of China Expert Science and Technology Economy Consultation Center.

二、中国专家科技经济咨询中心的工作主要是面向国际和国内社会的相关机构及相关项目进行交流和合作。为便于工作，加强管理，今后将统一以中国专家科技经济咨询中心的名义对外开展工作，对此，甲乙双方均确认无误。Both Parties affirmed: China Expert Science and Technology Economy Consultation Center is responsible for affairs in society, also includes international cooperation and exchange. To strengthen the management, to deal with Certification International Professional affairs in the name of China Expert Science and Technology Economy Consultation Center.

三、American Certification Institute terminated its alliance agreement with Beijing Five-Star Huan Yu International Culture Exchange Center on March 19, 2004. Effective March 19, 2004, Beijing Five-Star Huan Yu International Culture Exchange Center is no longer ACI’s legal representative in China. Beijing Five-Star Huan Yu International Culture Exchange Center has no legal right to engage in any education or training activities under the name of ACI or to represent ACI in any way. ACI will not bear any responsibility for such activities conducted by Beijing Five-Star Huan Yu International Culture Exchange Center effective March 19, 2004. Any such illegal acts by Beijing Five-Star Huan Yu International Culture Exchange Center is subject to legal action in the US and China by ACI. The only official ACI webpages are found at www.amcertinst.org and www.amcertinst.org.cn.美国认证协会已于2004年3月19日终止了与北京五星环宇国际文化交流中心的合作协议。 自2004年3月19日起，北京五星环宇国际文化交流中心已不再是美国认证协会在中国的合法代理。北京五星环宇国际文化交流中心已无合法权力再以美国认证协会的名义或以任何其他代表美国认证协会的名义进行任何教育或培训活动。对于2004年3月19日以后北京五星环宇国际文化交流中心在非法代理下所从事的任何教育或培训活动，美国认证协会将不承担任何责任同时美国认证协会也将会在美国和中国追究此类非法活动的法律责任。ACI的唯一合法官方网站是：www.amcertinst.org和www.amcertinst.org.cn。
China Expert Science and Technology Economy Consultation Center, is one of ACI ’s major alliance partners in China. It is the exclusive agent of ACI in the programs of Certified Human Resource Management, Certified Marketing Management, Certified International Banking Management, etc.中国专家科技经济咨询中心国际职业资格证书中国考试指导中心，是ACI在中国的主要合作伙伴之一，在国内独家代理注册人力资源管理认证、注册营销管理认证和注册国际银行管理等认证项目。

四、为便于工作，提高工作效率，甲乙双方商定今后除了重大的决定，需中国专家科技经济咨询中心直接与乙方签署书面协议外，一般情况下均由北京高扬职业教育发展中心直接与乙方签署各项与ACI项目有关的补充协议。In order to facilitate promotional work and improve efficiency, generally the Beijing Gaoyang Professional & Educational Developing Center shall directly sign all relevant supplemental agreements with ACI for ACI’s programs unless it is necessary for the China Expert Science and Technology Economy Consultation Center to sign the agreements with ACI.

五、本备忘录一式两份，双方各执一份，且具有同等法律效力。未尽事宜，双方将友好协商解决。Each Party shall keep one copy of this supplemental agreement, and both copies are equally authentic. All other matters shall be resolved by friendly negotiation.
